Terms of Service

Effective Date: January 1, 2025

Welcome to UGC Reach. These Terms of Service ("Terms") govern your use of the UGC Reach Chrome extension and related services (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. ACCEPTANCE OF TERMS

By accessing or using UGC Reach, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. ELIGIBILITY

You must be at least 18 years old to use UGC Reach. By using the Service, you represent and warrant that you meet this age requirement.

3. DESCRIPTION OF SERVICE

UGC Reach is a CRM tool for UGC creators that provides:

  • Contact Extraction: Automated extraction of publicly available brand contact information from Instagram profiles and brand websites
  • AI Pitch Generation: Personalized pitch messages powered by AI analysis of brand data
  • Compatibility Scoring: AI-driven assessment of brand-creator alignment
  • CRM Features: Deal tracking, pipeline management, revenue analytics, and follow-up reminders
  • Data Export: CSV export of your CRM data (Pro subscribers only)

The Service is provided "as is" and we may modify, suspend, or discontinue features at any time without notice.

4. USER ACCOUNTS

Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

Account Security

You agree to:

  • Use a strong, unique password
  • Not share your account with others
  • Log out after each session when using shared devices

We are not liable for losses arising from unauthorized account access if you fail to safeguard your credentials.

5. SUBSCRIPTION PLANS AND BILLING

Free Plan

The Free Plan includes:

  • 20 brand extractions per month
  • 15 AI pitch messages per month
  • 50 contact storage limit
  • Table view CRM (Kanban board not included)
  • Basic features only

Pro Plan

The Pro Plan ($15/month or $150/year) includes:

  • 300 brand extractions per month
  • 300 AI pitch messages per month
  • 500 contact storage limit
  • Full CRM access (table and Kanban views)
  • Portfolio tracker and analytics
  • CSV data export
  • Advanced AI features

Billing Terms

  • Monthly Subscriptions: Billed monthly on the date you subscribe. Automatically renews unless canceled.
  • Annual Subscriptions: Billed annually on the date you subscribe. Automatically renews unless canceled.
  • Payment Processing: All payments are processed by Stripe. By subscribing, you authorize recurring charges.
  • Price Changes: We may change subscription prices with 30 days' notice. Changes apply to subsequent billing cycles.
  • No Refunds: Subscriptions are non-refundable except as stated in our Refund Policy.

Usage Limits

  • Monthly limits reset on the same day each month (your billing date)
  • Unused extractions and messages do not roll over to the next month
  • Exceeding limits requires upgrading to a higher plan

Cancellation

You may cancel your subscription at any time through the extension settings. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date.

6. ACCEPTABLE USE POLICY

You agree to use UGC Reach only for lawful purposes and in compliance with these Terms. You agree not to:

  • Violate Laws: Use the Service in any way that violates applicable laws or regulations
  • Infringe Rights: Extract or use data in violation of third-party intellectual property, privacy, or other rights
  • Spam or Abuse: Send unsolicited bulk messages, spam, or harassing content to brands
  • Misrepresent: Impersonate others or misrepresent your affiliation with any person or entity
  • Automate Abuse: Use bots, scrapers, or automated tools to abuse the Service or extract data beyond intended use
  • Reverse Engineer: Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere: Disrupt or interfere with the Service, servers, or networks
  • Resell: Resell, redistribute, or provide access to the Service without authorization

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

7. EXTRACTED DATA AND BRAND OUTREACH

Your Responsibility

  • You are solely responsible for how you use contact information extracted via UGC Reach
  • You must comply with all applicable laws, including CAN-SPAM Act, GDPR, and anti-spam regulations
  • UGC Reach is a tool; we are not responsible for your outreach practices or the content of your communications

Public Data Only

UGC Reach extracts only publicly available information from Instagram profiles and brand websites. You agree not to use the Service to:

  • Access password-protected or private data
  • Violate platform terms of service (e.g., Instagram's Terms)
  • Collect data for purposes prohibited by law

No Guarantees

We do not guarantee the accuracy, completeness, or deliverability of extracted contact information. Brands may change their contact details, and public information may be outdated or incorrect.

8. INTELLECTUAL PROPERTY

Our Rights

UGC Reach, including its name, logo, design, code, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content

You retain ownership of content you create using the Service (e.g., pitch messages, CRM notes). By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service.

AI-Generated Content

AI-generated pitch messages are created based on your input and brand data. You are free to use, modify, and distribute AI-generated content as you see fit. However, AI-generated content is provided "as is" and we make no guarantees about its effectiveness or originality.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

No Warranties

UGC Reach is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of uninterrupted, secure, or error-free service
  • Accuracy or reliability of extracted data or AI-generated content

Limitation of Liability

To the fullest extent permitted by law, UGC Reach and its owners, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, data, or business opportunities
  • Damages arising from your use or inability to use the Service

Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless UGC Reach from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights (including brand rights, privacy rights, or intellectual property rights)

10. TERMINATION

By You

You may terminate your account at any time by deleting it through the extension settings.

By Us

We may suspend or terminate your account at any time, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is involved in fraudulent or abusive activity
  • Required by law or to protect our rights or the rights of others

Termination does not entitle you to a refund (except as stated in our Refund Policy).

11. DISPUTE RESOLUTION

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Sarasota, Florida, in accordance with the rules of the American Arbitration Association. You waive your right to participate in class actions or jury trials.

Exceptions

Either party may seek injunctive relief in court to prevent irreparable harm (e.g., intellectual property violations).

12. MODIFICATIONS TO TERMS

We may update these Terms from time to time. Significant changes will be communicated via email or a prominent notice in the extension. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. GENERAL PROVISIONS

Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and UGC Reach.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
